Distance Service Sales Agreement

This Distance Service Sales Agreement ("Agreement") governs the rights and obligations between Vinci Studio ("Seller") and the party requesting services ("Buyer") when the digital services offered by Vinci Studio are ordered remotely — by phone, email, WhatsApp, forms on the Site, or similar means of distance communication, without the parties meeting in person — under Turkish Law No. 6502 on the Protection of Consumers and the Regulation on Distance Contracts. This Agreement is governed by the laws of the Republic of Türkiye.

1. Parties

Seller: Vinci Studio — Contact: bilgi.vincistudio@gmail.com, +90 545 814 20 04 / +90 542 478 80 60. Vinci Studio operates on a remote-first model serving clients across Türkiye, and does not maintain a fixed storefront/showroom address.

Buyer: Any individual or legal entity requesting web design, mobile app development, social media management, ad management, or production services from Vinci Studio.

2. Subject of the Agreement

The subject of this Agreement is to determine, in accordance with Law No. 6502 and related regulations, the characteristics, price, and payment terms of the digital service (corporate website design, mobile app development, social media management, ad management, production, etc.) requested by the Buyer from the Seller through distance means of communication, along with the parties' rights and obligations in that regard.

3. Description and Price of the Service

The scope, technical specifications, delivery timeline, and total price of the purchased service are further clarified between the parties via email, a proposal document, or a project brief, and submitted for the Buyer's approval. Unless otherwise stated, the service price is expressed in Turkish Lira (₺), and whether VAT is included or excluded is explicitly stated in the relevant proposal.

4. Formation and Confirmation of the Agreement

This Agreement is deemed formed once the Buyer confirms the proposal sent by the Seller in writing (via email or a similar durable medium) or makes the agreed deposit/advance payment. The Buyer acknowledges having reviewed and understood the service's key characteristics, total price, and payment method prior to confirming the order.

5. Manner and Duration of Performance

The Seller undertakes to perform the agreed service within the agreed timeframe and terms, exercising the required professional care. The Buyer is kept regularly informed about the project's progress. If the Buyer fails to provide necessary content, visuals, or approvals in a timely manner during the project, delivery timelines may be extended proportionately.

6. Right of Withdrawal

Under Article 15 of the Regulation on Distance Contracts, there is no right of withdrawal for services whose performance has begun with the Buyer's approval and that are performed instantly in electronic form, for contracts relating to intangible goods, or for services custom-prepared according to the Buyer's specific requests (such as custom web design, custom software development, or personalized content production). If performance of the service has not yet begun, the Buyer may withdraw from the Agreement by requesting a refund of their deposit; in that case, the provisions on our Cancellation and Refund Terms page apply.

7. Force Majeure

Natural disasters, epidemics, war, acts of terrorism, cyberattacks, and outages caused by infrastructure providers — events beyond the parties' reasonable control and unforeseeable — are considered force majeure. For the duration of a force majeure event, neither party may be held liable for failing to perform its obligations.

8. Dispute Resolution

Disputes arising from this Agreement fall within the jurisdiction of the Consumer Arbitration Committees and Consumer Courts at the Buyer's or Seller's place of residence, within the monetary limits announced by the Ministry of Trade of the Republic of Türkiye. For corporate (merchant) Buyers, the Courts and Enforcement Offices of Istanbul (Anatolian side) have jurisdiction.
