Service Terms

Last updated: October 4, 2026

This document governs how projects run between Vinci Studio and its clients: how the process moves forward, what each party delivers and when, what a revision covers, and what continues after launch. For the legal framework of the service and terms of site use, the User Agreement applies; for the processing of personal data, the Privacy Policy applies. Each project's specific scope, timeline, and fee are defined in the quote document; where this text and the quote conflict, the quote prevails.

1. Scope and Precedence of the Quote

For most of its services Vinci Studio publishes package prices on its website; a published price covers the scope listed for that package. For requests outside that scope and for Enterprise packages with unlimited scope, what binds the parties is the written quote prepared for each client. The project's deliverables, timeline, revision rounds, and payment schedule are each set out in the written quote.

This text is the general framework applied where the quote is silent. No deliverable is considered in scope unless it is explicitly written in the quote.

2. Project Process

Projects generally move through these stages: discovery and analysis, design, development, testing and optimization, launch. Each stage ends with an interim deliverable presented to the client for approval.

Work does not move to the next stage before the current one is approved. Returning to an already-approved stage is treated as a scope change (see clause 5).

3. Revision Rounds

Each project includes the number of revision rounds stated in the quote. A revision round means edits to a delivered output — text, imagery, color, layout — submitted together in one batch.

Requests submitted as a single consolidated list count as one round; requests arriving piecemeal for the same output are treated as separate rounds. Changing the direction of an approved design entirely, adding new pages or screens, or requesting a redesign from scratch is not a revision but a scope change.

4. Client Responsibilities

Timely progress depends on the client providing, on time: text content, product/service imagery, logo and brand assets, required account access (domain, hosting, ad accounts, social media), and stage approvals.

Delays in these items shift the delivery date accordingly and are not Vinci Studio's responsibility. Content and imagery supplied by the client are assumed to be licensed to the client; liability arising from material that infringes third-party rights rests with the client.

5. Scope Changes

Any request for a feature, page, screen, or integration not defined in the quote is a scope change. Such requests are priced separately so they do not disrupt the workflow, and are not implemented without written approval.

Minor scope changes may be absorbed into the current project; requests that change the nature of the project are handled as a separate engagement.

6. Payment

The payment schedule and stages are set out in the quote; the general practice is a deposit at kickoff and the balance on delivery. On staged projects, payment may be tied to stage approvals.

Where payment is overdue, Vinci Studio reserves the right to pause work and delivery until payment is made. Third-party costs such as ad budget, domain, hosting, and licensed images or fonts are not included in the service fee and, unless written otherwise, are borne by the client.

7. Delivery, Transfer, and Intellectual Property

Once the project fee is paid in full, usage rights to the final deliverables defined in the quote transfer to the client. Ownership of work produced before transfer remains with Vinci Studio.

Excluded from transfer: third-party licenses (fonts, stock imagery, plugins, themes) and Vinci Studio's non-project-specific infrastructure components and general methods. Licensing for those items remains subject to the relevant provider's terms.

8. Post-Launch Support

After delivery, defects in the delivered work (a function that does not work, broken rendering, a broken link) are fixed at no charge for the period stated in the quote.

Outside this scope: new feature requests, content updates, adaptations required by changes in third-party services, and issues caused by changes made by the client or third parties. Ongoing maintenance, updates, and content management are subject to a separate maintenance agreement.

9. Pausing or Cancelling a Project

If the client halts work mid-project, the value of stages completed up to that point is considered earned and is invoiced; any deposit is offset against that amount.

Projects unable to progress for more than thirty days for reasons attributable to the client (content or approvals not provided, communication ceasing) may be suspended. Restarting a suspended project is scheduled against the then-current calendar.

10. Portfolio and Reference Use

Vinci Studio may present completed projects as references on its own website, social media accounts, and promotional materials, including project imagery and the brand name.

If the client states in writing that they do not want this, the project is not published in the portfolio or is removed from it. This clause does not apply to projects covered by a confidentiality agreement.

11. Force Majeure and Disputes

In the event of natural disaster, general strike, cyber attack, internet infrastructure outages, and similar circumstances beyond the parties' control, obligations are suspended until the impediment is removed.

The parties agree to resolve disputes first in good faith and in writing. For unresolved disputes, the laws of the Republic of Türkiye apply and the courts and enforcement offices of Istanbul have jurisdiction.
